With the announcement of the spin-off of Yaborã, the commercial aviation division will be Embraer's direct responsibility

Aiming to return to developing the aviation business directly by Embraer, the Board of Directors, on the 28th, approved the partial spin-off of the subsidiary Yaborã Indústria Aeronáutica, with incorporation of the spun-off portion as of January 1, 2022.
Yaborã was created at the time of negotiations with Boeing in order to take care of all the commercial aviation part of Embraer, including the manufacture of all its commercial aircraft, so that its business would be separated from other parts, such as agricultural aviation, defense and executive aviation.
The spin-off aims to reduce operating, systemic, administrative and tax costs. However, the Partial Spin-off with Merger is still subject to approval by Embraer's shareholders, with the extraordinary general meeting being held at an opportune time.
The Partial Spin-off with incorporation will not increase Embraer's shareholders' equity, as Embraer already has Yaborã's records in its consolidated financial statements. The spin-off costs around 150 million reais.
